Welcome to Vortex. These Terms of Service govern your access to and use of the Vortex marketing intelligence platform. Please read them carefully before using the Service.
By accessing or using the Vortex platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of the revised Terms.
Vortex is a marketing intelligence platform that provides:
• Server-Side Tracking. Capture conversion events via tracking scripts and server-side APIs, including integration with Meta Conversions API (CAPI), Google Ads API, and TikTok Events API. • Lead Scoring. AI-powered quality scoring using an 8-factor model that evaluates leads in real time. • Duplicate Detection. Automated identification of duplicate leads using SHA-256 hashing and fuzzy matching algorithms. • Lead Routing. Configurable delivery of qualified leads to CRM systems, webhooks, and advertising platform postback endpoints. • Analytics and Reporting. Dashboards, funnel analytics, and AI-generated insights for campaign performance optimization.
The specific features available to you depend on your subscription plan and workspace configuration.
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:
• Maintaining the confidentiality of your account credentials. • All activity that occurs under your account, including actions taken by team members you invite to your workspace. • Promptly notifying us of any unauthorized use of your account.
Each workspace is associated with one or more administrators who manage team access, integrations, and billing. Workspace administrators are responsible for ensuring all team members comply with these Terms.
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not:
• Use the Service to track users without appropriate consent or legal basis as required by applicable privacy laws (including GDPR and CCPA). • Engage in ad fraud, click fraud, or generate artificial or fake traffic or conversions. • Use cloaking, deceptive redirects, or any technique designed to misrepresent traffic sources to advertising platforms. • Submit false, misleading, or fabricated lead data to the platform. • Attempt to reverse-engineer, decompile, or disassemble any part of the Service. • Use the Service to transmit malware, viruses, or other harmful code. • Exceed published rate limits or abuse API endpoints in a manner that degrades service for other users. • Resell, sublicense, or redistribute access to the Service without prior written consent.
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these acceptable use provisions.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect data processed through the platform.
You are responsible for ensuring that your use of Vortex tracking scripts and data collection practices comply with all applicable data protection laws in your jurisdiction, including obtaining necessary consents from end users where required.
You retain ownership of all data you submit to the Service. We process your data solely to provide the Service and as described in our Privacy Policy.
The Service, including all software, documentation, designs, trademarks, and proprietary technology, is owned by Vortex and protected by intellectual property laws.
These Terms do not grant you any rights to use Vortex trademarks, logos, or branding without our prior written consent.
You retain all rights to data and content you submit to the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service.
Access to the Vortex API is subject to the following conditions:
• Rate Limits. API requests are subject to published rate limits. We reserve the right to throttle or block requests that exceed these limits. • Fair Use. API access is provided for integration with your own systems and workflows. Automated scraping, excessive polling, or using the API to build a competing service is prohibited. • API Keys. You are responsible for keeping your API keys secure. Compromised keys should be rotated immediately via your workspace settings. • Versioning. We may update or deprecate API versions with reasonable notice. We will maintain backward compatibility where possible and provide migration guides for breaking changes.
Pricing, billing, and payment terms are determined by your subscription plan and will be communicated to you at the time of purchase or upgrade.
• Payment is due in advance according to your billing cycle (monthly or annual). • All fees are non-refundable unless otherwise stated in writing. • We reserve the right to change pricing with 30 days advance notice. • Failure to pay may result in suspension or termination of your account.

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service is provided on a "best effort" basis.
• We do not offer a formal Service Level Agreement (SLA) unless separately agreed in writing. • We may perform scheduled maintenance with reasonable advance notice. • We may temporarily suspend the Service for emergency maintenance, security incidents, or circumstances beyond our reasonable control.
We will make commercially reasonable efforts to minimize downtime and communicate service disruptions through our status page.
To the maximum extent permitted by applicable law:
• Vortex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. • Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you to Vortex in the twelve (12) months preceding the claim. • We are not responsible for losses caused by third-party services, advertising platform API changes, or factors outside our reasonable control.
These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort, strict liability, or otherwise.
Either party may terminate these Terms at any time:
• By You. You may close your account at any time through your workspace settings. Upon termination, your data will be retained for 30 days to enable recovery, after which it will be permanently deleted. • By Us. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or if we reasonably believe your use poses a risk to the Service or other users.
Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination (including limitations of liability, intellectual property, and governing law) will remain in effect.
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
